1.1 Introduction and Overview

Welcome to ON AIR FLOW LLC. These Terms of Service ("Terms") govern your access to and use of the services provided by ON AIR FLOW LLC ("ON AIR FLOW LLC," "we," "us," or "our"), including our website, APIs, mobile applications, and proprietary audio streaming platform (collectively, the "Service").

ON AIR FLOW LLC provides a business-to-business (B2B) audio streaming platform delivering 100% instrumental music (no vocals) for workspaces, offices, coworking spaces and business venues such as hotels and spas, available per workstation allocated to your plan. By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree with these Terms, you must not accept this agreement and may not use the Service.

1.2 License Grant and Restrictions

Subject to your continuous compliance with these Terms and timely payment of all applicable subscription fees, ON AIR FLOW LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and stream audio and visual content from the Service (the "Content") on the number of workstations included in your plan, for the business purposes permitted below. This license does not include any public-performance right (see §1.4).

Permitted Uses:

• Background audio playback in private physical office spaces, break rooms, and internal meeting rooms.
• Integration into internal digital workspaces and communication tools (e.g., Slack, Microsoft Teams, company intranets).
• Use as background audio in internal corporate training materials, presentations, and recorded meetings.
• Hold music for internal company teleconferencing and VoIP systems.
• Background audio playback in your business premises that are open to the public (e.g. hotel lobbies, spas, retail or hospitality areas), provided that you hold, and keep in force, every public-performance license required for those premises from the relevant local collecting society or PRO. You are responsible for determining which licenses apply to your premises; ON AIR FLOW LLC does not verify, advise on, or provide them.

Strictly Prohibited Uses:

• Unlicensed Public Performance / Broadcasting: Playing the audio in any space open to the public without the public-performance license(s) required locally for that space; or broadcasting or transmitting the audio by radio, television, public podcast or public online channel.
• Media Production: Synchronizing or using the audio in external marketing materials, podcasts, YouTube videos, television, radio, film, video games, or any public-facing content.
• Resale & Sublicensing: Selling, renting, sublicensing, distributing, or otherwise monetizing the audio files or streaming access to third parties.
• Derivative Works: Remixing, altering, sampling, or incorporating our audio into commercial music releases or claiming authorship of the tracks.
• Content ID Systems: Uploading our audio to digital rights management systems (e.g., YouTube Content ID) or consumer streaming platforms (e.g., Spotify, Apple Music, Deezer).

1.3 User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to notify us immediately of any unauthorized access to or use of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not attempt to bypass, circumvent, or disable any digital rights management, usage rules, or security features of the Service. You shall not use automated scripts, scrapers, spiders, or bots to access, copy, or download audio content in bulk. You shall not interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure. You shall not provide false, inaccurate, or misleading information during the registration or billing process.

1.4 Intellectual Property Rights

The Service, including all audio tracks, playlists, software, APIs, text, graphics, logos, and trademarks, is the property of ON AIR FLOW LLC or its licensors, and ON AIR FLOW LLC owns or controls the rights in the audio content that it licenses to you. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and foreign jurisdictions.

These Terms do not convey any rights of ownership in or related to the Service or the audio content. All rights not expressly granted to you in these Terms are reserved and retained by ON AIR FLOW LLC. Your active subscription acts as your license from ON AIR FLOW LLC for the permitted uses outlined herein. It does not include a public-performance license. You are solely responsible for obtaining and paying for any public-performance license required in the territory where the audio is played (typically from the relevant collecting society or Performing Rights Organization (PRO), e.g. ASCAP, BMI, SESAC, PRS, SACEM, ECAD, OneMusic, IPRS), and for any related reporting. ON AIR FLOW LLC does not act as, or replace, any collecting society.

1.5 Disclaimer of Warranties

ON AIR FLOW LLC does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any content provided through the Service.

1.6 Limitation of Liability

You agree to defend, indemnify, and hold harmless ON AIR FLOW LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Service or audio content, or your violation of any rights of a third party.

1.8 Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, at any time and without notice or liability, if you breach any provision of these Terms or engage in conduct that we determine to be inappropriate or harmful to the Service or our users.

Upon termination of your account, your right to use the Service and stream audio content will immediately cease. You must promptly delete or destroy any downloaded or cached audio files obtained through the Service. Sections 1.4, 1.5, 1.6, 1.7, 1.9, and 1.10 shall survive any termination or expiration of these Terms.

1.9 Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the internal laws of the State of New Mexico, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Mexico. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

1.11 Fees, Trial and Renewal

Fees, Trial and Renewal. Subscription fees are those shown on our pricing page or in your written order. Where a free trial is offered, a payment card is required at sign-up. Unless you cancel before the trial ends, you authorize ON AIR FLOW LLC, through its payment processor, to charge the applicable plan price automatically at the end of the trial and at the start of each billing period until you cancel. Cancellations, refunds and plan changes are governed by our Refund & Cancellation Policy, which forms part of these Terms.
