1.1 Introduction and Overview

Welcome to ON AIR FLOW LLC. These Terms of Service ("Terms") govern your access to and use of the services provided by ON AIR FLOW LLC ("ON AIR FLOW LLC," "we," "us," or "our"), including our website, APIs, mobile applications, and proprietary audio streaming platform (collectively, the "Service").

ON AIR FLOW LLC provides a business-to-business (B2B) audio streaming platform delivering curated, original instrumental music designed for workspaces, offices, coworking spaces, and internal corporate environments. By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree with these Terms, you must not accept this agreement and may not use the Service.

1.2 License Grant and Restrictions

Subject to your continuous compliance with these Terms and timely payment of all applicable subscription fees, ON AIR FLOW LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and stream audio content from the Service strictly for your internal business purposes.

Permitted Uses:

• Background audio playback in private physical office spaces, break rooms, and internal meeting rooms.
• Integration into internal digital workspaces and communication tools (e.g., Slack, Microsoft Teams, company intranets).
• Use as background audio in internal corporate training materials, presentations, and recorded meetings.
• Hold music for internal company teleconferencing and VoIP systems.

Strictly Prohibited Uses:

• Public Broadcasting: Streaming the audio in public-facing retail, hospitality, restaurants, hotels, or any commercial environment open to the general public, unless explicitly covered by a specialized Enterprise tier agreement.
• Media Production: Synchronizing or using the audio in external marketing materials, podcasts, YouTube videos, television, radio, film, video games, or any public-facing content.
• Resale & Sublicensing: Selling, renting, sublicensing, distributing, or otherwise monetizing the audio files or streaming access to third parties.
• Derivative Works: Remixing, altering, sampling, or incorporating our audio into commercial music releases or claiming authorship of the tracks.
• Content ID Systems: Uploading our audio to digital rights management systems (e.g., YouTube Content ID) or consumer streaming platforms (e.g., Spotify, Apple Music, Deezer).

1.3 User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to notify us immediately of any unauthorized access to or use of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not attempt to bypass, circumvent, or disable any digital rights management, usage rules, or security features of the Service. You shall not use automated scripts, scrapers, spiders, or bots to access, copy, or download audio content in bulk. You shall not interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure. You shall not provide false, inaccurate, or misleading information during the registration or billing process.

1.4 Intellectual Property Rights

The Service, including but not limited to all audio tracks, playlists, software, APIs, text, graphics, logos, and trademarks, is the exclusive property of ON AIR FLOW LLC and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and foreign jurisdictions.

These Terms do not convey any rights of ownership in or related to the Service or the audio content. All rights not expressly granted to you in these Terms are reserved and retained by ON AIR FLOW LLC. Your active subscription acts as your direct license for the permitted uses outlined herein, requiring no additional reporting or fee payments to Performing Rights Organizations (PROs) such as ASCAP, BMI, SESAC, or PRS.

1.5 Disclaimer of Warranties

ON AIR FLOW LLC does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any content provided through the Service.

You agree to defend, indemnify, and hold harmless ON AIR FLOW LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Service or audio content, or your violation of any rights of a third party.

1.8 Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, at any time and without notice or liability, if you breach any provision of these Terms or engage in conduct that we determine to be inappropriate or harmful to the Service or our users.

Upon termination of your account, your right to use the Service and stream audio content will immediately cease. You must promptly delete or destroy any downloaded or cached audio files obtained through the Service. Sections 1.4, 1.5, 1.6, 1.7, 1.9, and 1.10 shall survive any termination or expiration of these Terms.

1.9 Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the internal laws of the State of New Mexico, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Mexico. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
